Hellerstein represents both companies and investors in equity financing transactions involving complex layers of capitalization and shares with various rights in connection with multiple rounds of financing. We also represent both acquirers and targets in cross-border M&A transactions, with particular experience in representing US acquirers of Israeli companies.

Hellerstein represents US companies involved in international commercial disputes in both Israeli courts and arbitration proceedings. The firm also specializes in enforcing foreign judgments in Israel and collection proceedings, working closely with private investigators to locate and recover assets. We work closely with US and European counsel on international litigation matters that involve multiple proceedings and forums.  Joe, admitted to practice in New York, also provides legal opinions on US law in connection with Israeli litigation, regulatory and administrative matters.

Hellerstein acts as corporate counsel to many Israeli subsidiaries of US companies from the establishment stage, advising on structure and organization, through the operation stage, making sure the subsidiary has proper corporate approvals and authority for all its operations, and, if necessary, provides guidance and document preparation through the dissolution stage. Hellerstein also prepares and negotiates a wide-range of commercial agreements on behalf of its clients, from licensing  and IP transfer agreements to sales, supply and manufacturing agreements.

As part of its role as general corporate counsel, Hellerstein helps its clients navigate through Israel’s complex employment laws.  Hellerstein prepares, on behalf of its clients, the documents necessary to hire and maintain employees, as well as documents necessary upon termination of employees.  Hellerstein also advises clients on employment issues relating to M&A and investment transactions, making sure all employment documentation is in place prior to such transactions.

Hellerstein works with Israel’s top tax practitioners specializing in international tax to provide tax advice and tax structuring for Hellerstein clients in connection with corporate transactions, asset acquisitions and investment portfolios.  Hellerstein also advises its international clients regarding permanent establishment  issues and, if necessary, will negotiate with Israel’s tax authorities in an effort to obtain favorable rulings, allowing clients to conduct business with minimum tax liability.

Hellerstein represents both creditors in bankruptcy and liquidation proceedings as well as acquirers of distressed assets in Israeli liquidations.  We guide the potential acquirer through the process of preparing, submitting and negotiating a bid for assets sold in liquidation and negotiate the resulting transaction.  We also advise clients in connection with financing transactions involving companies in precarious financial situations to help minimize risk.
